TetraSix Software License Agreement for Majix

IMPORTANT - READ CAREFULLY: This TetraSix Software License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity) and TetraSix for TetraSix software product, Majix, which may include associated software components, media, printed materials, and "online" or electronic documentation ("Majix"). By installing, copying or otherwise using Majix, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this agreement, do not install or use Majix.

Majix is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. Majix is licensed, not sold.

1. GRANT OF LICENSE

Majix is licensed as follows:

• Installation and Uses. TetraSix grants you the right to install and use copies of Majix on your computers.

• Backup copies. You may also make copies of Majix as may be necessary for backup and archival purposes.

2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS

Maintenance of copyright notices. You must not remove or alter any copyright notices contained in any copy of Majix.

Distribution. You may reproduce and distribute an unlimited number of copies of Majix, provided each copy be a true and complete copy, this includes all copyrights and trademark notices, and that it be accompanied by a copy of this Agreement.

Support. TetraSys provides no support whatsoever for Majix, including, but not limited to, assistance in resolving problems or answering questions during the installation and operation of the software.

Upgrades. TetraSix is not obligated to provide any upgrades whatsoever for Majix, including, but not limited to, enhancements or bug fixes.

Prohibition of Reverse Engineering, Decompilation and Disassembly.

You may not reverse engineer, decompile, or disassemble Majix, except if ,and only to that extent , such activity is expressly permitted by applicable laws notwithstanding this limitation.

Transfer. You may permanently transfer all your rights under this Agreement, provided the recipient agrees to the terms of this Agreement.

Compliance with Applicable Laws. You must comply with all applicable laws regarding use of Majix.

3. TERMINATION

Without prejudice of any other rights, TetraSix may terminate this Agreement if you fail to comply with the terms and conditions of this Agreement. In such event, you must destroy all copies of Majix and render them unrecoverable.

4. COPYRIGHT

All title, including but not limited to copyrights, in and to Majix and any copies are owned by TetraSix or its suppliers. All title and intellectual property rights in and to the content which may be accessed through use of Majix is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This Agreement grants you no right to use such content. All rights not expressly granted are reserved by TetraSix.

Majix includes the code of XML parser XP written by James Clark. This parser is covered by its own license agreement that you can find in the file copying_xp.txt.

5. GENERAL

This agreement shall be governed by the laws of the French Republic.

6. NO WARRANTIES

TetraSix expressly disclaims any warranty for Majix. Majix AND ANY RELATED DOCUMENTATION IS PROVIDES "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF Majix REMAINS WITH YOU.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, in no event shall TetraSix or its suppliers be liable for any special, incidental, indirect or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use or inability to use Majix, even if TetraSix has been advised of the possibility of such damages. In any case, TetraSix' entire liability under any provision of this Agreement shall be limited to the greater amount actually paid by you for Majix or FFr 50. Because some states and jurisdictions do not allow the exclusion or limitation of liability, the above limitation may not apply to you.
